NEW POLL: STRONG MAJORITY OF DELAWARE VOTERS OPPOSE SENATE BILL 21

Poll finds majority would hold legislators accountable for supporting corporate governance changes

A new statewide poll released today by the Consumer Federation of America reveals that Delaware voters strongly oppose Senate Bill 21, controversial legislation that would dramatically weaken shareholder rights and corporate accountability. The poll of 500 Delaware voters found that 66% oppose the legislation, with 47% strongly opposing.

“Delaware voters overwhelmingly oppose this corporate power grab, which would destroy Delaware’s balanced system of corporate governance and harm retirement security for millions of Americans,” said Susan Weinstock, CEO of the Consumer Federation of America. “This poll confirms that when voters understand that SB 21 would funnel billions in wealth from ordinary investors to billionaires and corporate executives, they soundly reject it.”

The survey, conducted March 12-16, 2025, sought voters’ reactions to SB 21, which would limit lawsuits against controlling shareholders, remove guardrails against conflict-of-interest transactions, and restrict shareholder access to corporate records.

Key findings from the poll include:

  • 57% of voters said they would be less likely to vote for their state representative if they supported this bill, including 37% who said they would be much less likely.
  • When voters learned that “Elon Musk’s legal team wrote this bill after Musk’s $56 billion Tesla pay package was overturned under Delaware law,” 66% found it a persuasive reason to oppose the legislation.
  • 71% of voters found it a “good reason” to oppose the bill after learning it would have “disastrous consequences for pensions, 401Ks, and millions of normal Americans who rely on their investments for retirement security.”
  • 68% found concerns about investor confidence and potential impacts on state revenue as a compelling reason to oppose the bill.
  • Even after hearing arguments from both sides, 59% of voters remain opposed to the legislation.

The survey results come as Delaware lawmakers consider fast-tracking SB 21 through the legislature with limited public input. The poll shows Delaware voters, when informed about the bill’s provisions, strongly reject rushing changes that would primarily benefit controlling shareholders at the expense of everyday investors.
